FBR clarifies reserves, profits, income and gains included in accumulated profits for dividend taxation
ISLAMABAD: The Income Tax Ordinance, 2001 defines the term “accumulated profits” for determining the tax treatment of dividend distributions and payments for Tax Year (TY) 2027.
The Federal Board of Revenue (FBR) has released an updated version of the Income Tax Ordinance, 2001, incorporating amendments introduced through the Finance Act, 2026 and updated up to June 30, 2026.
What counts as accumulated profits?
Under the updated Ordinance, accumulated profits, in relation to the distribution or payment of a dividend, include certain reserves as well as the profits, income and gains of a company or trust up to specified dates.
The definition provides that accumulated profits include any reserve made wholly or partly from an allowance, deduction or exemption admissible under the Income Tax Ordinance, 2001.
For the purposes of sub-clauses (a), (b) and (e) of clause (19), accumulated profits include all profits of the company, including the income and gains of a trust, up to the date on which the dividend is distributed or paid.
For the purposes of sub-clause (c) of clause (19), the accumulated profits include all profits of the company, including income and gains of a trust, up to the date of its liquidation.
Relevance to dividend taxation
The definition is important in determining the amount that may be treated as accumulated profits when applying provisions relating to dividends under the Income Tax Ordinance, 2001.
The treatment of accumulated profits can therefore affect the application of tax provisions where dividend distributions are assessed under the Ordinance.
The updated legislation provides taxpayers and other stakeholders with greater clarity on the types of reserves, profits, income and gains that fall within the definition.
