PTCL board approves to acquire majority stake in microfinance company

KARACHI: Pakistan Telecommunication Company Limited (PTCL) has moved a step closer to entering Pakistan’s microfinance sector after its board of directors approved the submission of a binding offer to acquire a majority stake in a target company.

In a notice submitted to the Pakistan Stock Exchange (PSX) on Friday, the company said its board, at a meeting held on July 30, 2026, authorised the submission of a binding offer for the acquisition of a majority stake in the issued and paid-up ordinary share capital of the target company.

The proposed transaction represents a significant milestone in PTCL’s strategy to diversify beyond its core telecommunications business and expand its presence in Pakistan’s financial services sector.

Transaction subject to key conditions

PTCL emphasised that the proposed acquisition has not yet been finalised and remains subject to several conditions before completion.

These include the successful conclusion of negotiations between the parties, completion of due diligence, execution of definitive transaction agreements, and receipt of all required corporate, regulatory and statutory approvals and consents.

The company added that the purchase consideration and other commercial terms are still under negotiation, and no definitive agreement has been executed at this stage.

PTCL to keep PSX informed

The telecom operator said it would continue to notify the Pakistan Stock Exchange of any material developments relating to the proposed transaction in accordance with applicable legal and regulatory requirements.

The company noted that further announcements would be made as and when significant progress is achieved.

Strategic expansion into financial services

The latest development follows an earlier resolution passed by PTCL’s board on July 21, 2023, authorising the company to explore investment opportunities in Pakistan’s microfinance sector.

At the time, PTCL informed the stock exchange that it was evaluating potential investment opportunities and would disclose any material developments in compliance with regulatory obligations.

If completed, the acquisition would mark PTCL’s entry into Pakistan’s microfinance industry, supporting the company’s broader strategy of expanding into digital financial services and strengthening its position in the country’s evolving financial technology ecosystem.

The proposed investment also reflects the growing convergence between telecommunications and financial services, as telecom operators increasingly seek to leverage their digital infrastructure and customer base to offer a wider range of financial products and services.
