SECP directs companies to hold AGMs by October 28

Companies with financial years ending June 30, 2026, must complete AGM, Annual Return and UBO compliance within prescribed deadlines

The Securities and Exchange Commission of Pakistan (SECP) has advised companies whose financial year ended on June 30, 2026, to hold their Annual General Meetings (AGMs) by October 28, 2026, and complete the required Annual Return and Ultimate Beneficial Ownership (UBO) filings.

According to an SECP news release issued on Tuesday, these companies are required to hold their AGMs within 120 days of the close of their financial year.

Following the AGM, companies must submit Form A where there has been a change in the particulars reported in their previous Annual Return. Where the particulars remain unchanged, companies are required to file Form 24.

Exemption for certain private companies

The SECP clarified that single-member companies and private companies with paid-up capital of up to Rs3 million are exempt from filing an Annual Return where there has been no change in the particulars contained in their last return.

The exemption, however, does not remove other applicable corporate compliance requirements.

Companies required to complete UBO filings

Companies must also fulfil their annual Ultimate Beneficial Ownership requirements.

These obligations include issuing the prescribed notices, obtaining declarations and updates, maintaining the UBO Register and filing Form-19 with the Registrar along with the Annual Return.

Where an Annual Return is not required, Form-19 must instead be filed within 30 days of the end of the calendar year.

The SECP has encouraged companies to review their corporate records and prepare the required documentation and filings in advance to ensure compliance within the prescribed deadlines.

The regulator also emphasised the importance of keeping corporate information accurate and up to date, particularly in relation to ownership and other statutory particulars.

Compliance deadline

For companies whose financial year closed on June 30, 2026, the October 28 AGM deadline represents an important statutory compliance date. Companies should therefore ensure that their AGM arrangements, Annual Return documentation and UBO records are completed within the applicable timelines.
