Stock exchange holds preliminary talks with existing NCCPL shareholders after regulatory changes to clearing house ownership framework.
KARACHI: The Pakistan Stock Exchange (PSX) has begun preliminary discussions with one or more existing shareholders of the National Clearing Company of Pakistan Limited (NCCPL) to explore the acquisition of additional shares in the country’s central clearing and settlement institution.
The development was disclosed in a notice issued to shareholders and market participants on Friday, with the exchange stating that the discussions form part of a strategic assessment following recent regulatory amendments introduced by the Securities and Exchange Commission of Pakistan (SECP).
Discussions at a Preliminary Stage
According to the PSX, the engagement is currently at an exploratory stage and no binding agreement has been reached.
The exchange said it is evaluating the possibility of acquiring additional shares in NCCPL from one or more existing shareholders but emphasised that no transaction has been concluded.
“The communication is being made at a preliminary stage, and no agreement or transaction has been concluded as of this date,” the PSX said in its notification.
The exchange added that it will issue a further announcement in accordance with applicable disclosure requirements if a definitive agreement is executed or any material development occurs.
SECP Regulatory Amendments
The discussions follow amendments notified by the SECP to the Clearing Houses (Licensing and Operations) Regulations, 2016 and the Central Depositories (Licensing and Operations) Regulations, 2016.
Among other changes, the revised regulations provide for higher permissible foreign shareholding limits in clearing houses and central depositories while establishing a clearer framework for calculating ownership thresholds.
The regulatory changes are part of broader efforts to modernise Pakistan’s capital market infrastructure and facilitate greater participation by strategic investors, including foreign entities, within an enhanced regulatory framework.
Strategic Importance of NCCPL
NCCPL serves as Pakistan’s central clearing and settlement institution, providing critical post-trade services for the country’s capital markets.
Its responsibilities include:
• Clearing and settlement of securities transactions.
• Risk management.
• Collateral management.
• Central counterparty services for the capital market.
An increase in PSX’s shareholding would strengthen the exchange’s ownership position in one of Pakistan’s most important financial market infrastructure institutions, although any transaction would remain subject to negotiations and applicable regulatory approvals.

The proposed acquisition comes as Pakistan continues efforts to strengthen and modernise its capital market infrastructure through regulatory reforms designed to improve governance, attract investment and enhance market efficiency.
While the discussions remain at an early stage, the move signals PSX’s strategic interest in expanding its role within the country’s post-trade ecosystem following the SECP’s revised ownership framework.
