Karachi, March 24, 2026 – The Pakistan Telecommunication Authority (PTA) has formally approved the amalgamation of Ufone and Telenor Pakistan, according to an official communication submitted to the Pakistan Stock Exchange (PSX) on Tuesday.
As per details shared by Pakistan Telecommunication Company Limited (PTCL), the telecom regulator issued its order on March 19, 2026, granting approval for the proposed merger of Pak Telecom Mobile Limited (PTML), which operates under the Ufone brand, with Telenor Pakistan (Private) Limited. Both entities are wholly owned subsidiaries of PTCL.
The approval is subject to the submission of unconditional acceptance of the outlined terms and conditions within 15 days. The amalgamation will be executed through a formal scheme of arrangement in accordance with applicable corporate and regulatory laws.
The development marks a major milestone in Pakistan’s telecom sector, following PTCL’s earlier agreement in December 2024 to acquire a 100% stake in Telenor Pakistan from Telenor Pakistan B.V.. The transaction, valued at Rs108 billion on a cash-free, debt-free basis, set the stage for consolidation within the industry.
Industry experts believe the merger will combine the operational strengths, infrastructure, and customer base of both companies, creating significant synergies. The integration is expected to enhance service quality, expand network coverage, and accelerate digital transformation initiatives across Pakistan.
PTCL stated that the combined entity will strengthen its market position and enable it to compete more effectively in an increasingly competitive telecom landscape. The move is also anticipated to drive innovation, improve customer experience, and support the country’s broader digital growth objectives.
With this approval, the merger process enters its final phase, signaling a transformative shift in Pakistan’s telecommunications industry.
