PTCL gets CCP nod for Telenor Pakistan acquisition

Karachi, October 1, 2025 – The Competition Commission of Pakistan (CCP) has officially given the green signal to PTCL for acquiring the entire issued share capital of Telenor Pakistan BV. This landmark approval marks a significant step in reshaping the telecom landscape of the country.

In a communication shared with the Pakistan Stock Exchange (PSX), PTCL confirmed that the company had earlier signed a share purchase agreement on December 14, 2023, with Telenor Pakistan BV. The deal covers the complete acquisition of both Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited. The finalization of this acquisition remains subject to additional corporate and regulatory approvals, as well as the completion of necessary legal formalities.

The CCP, after reviewing the case under its Phase-II proceedings, approved the pre-merger application filed jointly by PTCL and Telenor Pakistan BV. The order was issued in accordance with the Competition Act, 2010, and the Competition (Merger Control) Regulations, 2016. The regulatory nod highlights CCP’s role in ensuring that mergers and acquisitions are conducted transparently and without creating anti-competitive practices.

Industry analysts believe that the acquisition of Telenor Pakistan by PTCL could strengthen the telecom giant’s market position, allowing it to expand its infrastructure, enhance digital services, and improve customer connectivity across Pakistan. However, both companies stressed that the transaction’s closing is still pending until all formal agreements and closing obligations are fulfilled.

The move underscores growing consolidation in Pakistan’s telecom sector, with PTCL emerging as a key player in driving future innovation and market competitiveness.
